Terms of Sale

These terms apply to every order placed with Kayla Print. By requesting a quote, accepting a quote or paying an invoice, you confirm you have read and accept these terms. A link to these terms is included on every quote and invoice, and payment confirms your acceptance.

1. Who we are

Kayla Print is a business based in Scotland. Business address: 44 West George Street, Glasgow, G2 1DH. Email: megan@kaylaprint.com. Kayla Print is not VAT registered.

We work with trusted manufacturing partners to produce your custom printed products, and we manage your order from quote to delivery.

We sell to businesses only. By requesting a quote or placing an order, you confirm that you are acting for a business and not as a consumer.

2. Quotes

  1. Every order starts with a written quote showing the product, quantity, price, delivery charge and expected lead time.
  2. Quotes are valid for 30 days. Prices may be revised before payment if our production or delivery costs change.
  3. Because we are not VAT registered, prices quoted are the full price. No VAT is added.
  4. Some products have a minimum order quantity. For example, custom clear plastic cups have a minimum of 10,000 cups, and 340ml (12oz) and 455ml (16oz) can be mixed to reach it. Any minimum is shown on your quote.
  5. Artwork set-up. Certain products include free artwork set-up. Artwork set-up means preparing your finished, print-ready artwork for production: checking the file, fitting it to the product template, setting it up for print and creating your digital proof. It is not artwork design. Creating, redrawing or changing a design or logo is design work and is charged separately. Whether artwork set-up is free or charged, and any design fee, will always be shown on your quote and invoice.
  6. Once your invoice is paid, your order is final and cannot be reversed, cancelled or refunded. As soon as an order is placed, we notify our manufacturing partner, reserve print capacity and begin preparing your order. This applies even if your artwork is not yet ready or approved. You can still make changes to your artwork after paying, up until it is approved and sent for production. After that, no further changes can be made.

3. Placing an order and payment

  1. An order is confirmed when you accept the quote and pay your invoice.
  2. By paying, you confirm you understand that Kayla Print is not the manufacturer. We arrange your order with manufacturing partners, who are usually based in the UK, but your products may be produced elsewhere.
  3. All invoices must be paid in full. We do not offer credit or part payment.
  4. Production does not start until full payment has been received and your artwork has been approved.
  5. If any amount owed to us is not paid, we may pass the debt to our debt collection partners, including face-to-face collection agents. You will be responsible for all collection costs, and for interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
  6. Reorders can be placed by emailing megan@kaylaprint.com. Each reorder is confirmed with its own quote and invoice, paid in full before production.

4. Artwork, design and proofs

  1. You can supply your own artwork, use one of our templates, or work with one of our design partners. Any design or artwork fee is shown on your quote.
  2. Before anything is printed, we send you a digital proof. Please check it carefully, including spelling, wording, logos, layout, sizing and colours.
  3. Once you approve a proof, it becomes the final version. Approval by email, such as "approved" or "go ahead", counts as final sign-off. We are not responsible for errors in an approved proof. This includes artwork created by our design partners: you must check and approve all design work, and the approved proof is always final.
  4. Colours on screen and on printed products can differ slightly. Small differences in colour, shade or position are normal in printing and are not treated as a fault.
  5. You confirm that you own, or have permission to use, all logos, images and text you send us. You are responsible for any claim that your artwork infringes someone else's rights.
  6. We may refuse artwork that is offensive, unlawful or infringes someone else's rights.

5. Production and delivery

  1. Lead times start from the later of full payment and artwork approval. Your quote confirms the expected lead time for your product.
  2. Lead times are estimates, not guaranteed dates. We will keep you updated if anything changes, but we are not liable for delays outside our control.
  3. Delivery is charged at £4 per box unless your quote says otherwise. The number of boxes depends on your order (for example, 500 double wall or 1,000 single wall cups per box).
  4. We deliver to UK mainland addresses. Other locations are quoted separately.
  5. Responsibility for the goods passes to you once they are delivered to the address you gave us. You must make sure someone is available to receive the delivery. We are not responsible for missed, late or failed deliveries caused by the courier, by an incorrect address, or by no one being available. Any redelivery charges are payable by you.
  6. Print quantities can vary slightly from the quantity ordered, which is normal in manufacturing. Delivered quantities may be up to 10% over or under the quantity ordered. Any quantity within this tolerance counts as a complete order, and the price is not adjusted.

6. Changes and cancellations

  1. All payments are final and non-refundable once made. Paying confirms your order and lets us commit production costs straight away.
  2. Orders cannot be cancelled once paid, and the product, size and quantity cannot be changed. Artwork can be changed until it is approved and sent for production.
  3. If you do not approve your proof within 7 days of it being sent, your order is paused and loses its reserved print slot, and the lead time starts again once you approve. If you do not approve or respond within 30 days of payment, we may close your order. Your payment is not refunded.
  4. As we sell to businesses only, consumer cancellation rights do not apply to any order.
  5. The only exceptions are an order that is faulty or does not match your approved proof (see our Refunds and Returns Policy), or an order we are unable to fulfil. If we cannot fulfil your order, for example because a product becomes unavailable or a price was quoted in error, we will refund you in full, and that refund is our only liability.

7. Our liability

  1. If an order is faulty or does not match your approved proof, our only obligation is to reprint the affected items. We only give a refund if a reprint is not possible. This is your only remedy.
  2. Our total liability is limited to the price you paid for the affected items only, not the whole order.
  3. We are not liable for any indirect or business losses, including lost profit, revenue, sales, business or goodwill, wasted stock or spending, or missed events, openings or launches.
  4. We are never liable for: errors in an approved proof; colour or quantity differences; delays or errors caused by couriers or manufacturing partners; damage caused by storage, handling or misuse after delivery; products used for a purpose they were not made for; information printed on your packaging; or your artwork and content.
  5. Any problem must be reported within the deadlines in our Refunds and Returns Policy (48 hours for damage in transit, 3 working days for any other fault). After that, your order is treated as accepted and we have no further liability.
  6. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

8. Your information and marketing

  1. We use your details to quote, process and deliver your order and to contact you about it. We do this to carry out our contract with you, in line with UK GDPR.
  2. We share only what is needed with our manufacturing, design, delivery and, if needed, debt collection partners.
  3. We may also contact you about other products and services offered by us or our related businesses. These may include packaging, print, supplies and ingredients, websites and marketing services. We do this on the basis of our legitimate interest in offering you relevant products.
  4. You can opt out of marketing at any time by replying "unsubscribe" or emailing megan@kaylaprint.com. Opting out does not affect your order.
  5. We keep order and invoice records for as long as needed for tax and legal purposes, usually 6 years.

9. Governing law

These terms are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction over any dispute.

10. Product information and how you use it

  1. Product descriptions, sizes and specifications are given in good faith. Images, mock-ups and samples are for illustration only.
  2. You are responsible for checking that a product is suitable for your intended use before you order, for example the drinks you serve or the goods you pack. Ask us for a sample or specification if you are unsure.
  3. You are responsible for any information printed on your packaging that the law requires, such as ingredients, allergens, weights, recycling or business details, and for making sure it meets the rules that apply to your products.
  4. Products should be stored in a cool, dry place. We are not responsible for damage caused after delivery.

11. Payment disputes

  1. Please contact us first if there is a problem with your order, so we can put it right.
  2. If you raise a chargeback or payment dispute, we will share your quote, approved proof and proof of delivery with your payment provider. If the dispute is found in our favour, we may recover the amount and any costs, and we may refuse future orders.
  3. Any unpaid amount is handled as set out in section 3.

12. Your responsibility to us

You agree to cover any loss, cost, claim or legal fee we suffer because of your artwork or content, the information on your packaging, how you use or sell the products, or a breach of these terms.

13. Events outside our control

  1. We are not liable for delays or failures caused by events outside our reasonable control. These include production partner or courier delays, material shortages, extreme weather, strikes, power or IT failures, pandemics and government action.
  2. If such an event delays your order by more than 60 days, either of us can cancel the part of the order not yet produced. We will refund any amount we are able to recover for that part.

14. Designs, templates and photos

  1. Templates, mock-ups and design files we provide remain ours. Once your order is paid in full, you can use the final design on your own products.
  2. We may photograph and show finished products in our marketing unless you ask us not to in writing.

15. General

  1. Your contract is with Kayla Print only. Our production and delivery partners are not part of it.
  2. These terms and your quote are the whole agreement. If they conflict, the quote applies.
  3. We may update these terms. The version in place when you accept your quote applies to that order.
  4. If any part of these terms cannot be enforced, the rest still applies.
  5. Emails count as written communication.
  6. You cannot transfer your order to someone else without our agreement.
